Terms of Service

1. Agreement to Terms

By accessing or using EyeOTea ("the Service"), an IoT device management platform operated by Sylvanity B.V. ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service.

2. Description of Service

EyeOTea provides an IoT device management platform that enables organizations to:

• Register and manage IoT devices (LoRaWAN, HTTP-based, and other protocols)
• Collect, store, and visualize telemetry data from connected devices
• Send commands to devices
• Manage organization members and device access permissions
• Configure device profiles and categories
• Access device data through APIs and dashboards

3. Account Registration

To use the Service, you must register for an account using a valid invite code provided by your organization administrator. You agree to:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Promptly notify us of any unauthorized access to your account
• Accept responsibility for all activities that occur under your account

4. User Roles and Permissions

The Service implements role-based access control:

• Organization Owner: Full administrative access to organization settings, devices, and team members
• Organization Admin: Can manage devices, device profiles, and team member permissions
• Member: Can view and interact with devices based on explicitly granted permissions

You agree to use the Service only within the scope of permissions granted to your role.

5. Acceptable Use

You agree not to:

• Use the Service for any illegal or unauthorized purpose
• Attempt to gain unauthorized access to other organizations' data or devices
• Interfere with or disrupt the Service or servers
• Reverse engineer or attempt to extract the source code of the Service
• Use the Service to transmit malware, viruses, or harmful code
• Violate any applicable laws or regulations, including GDPR
• Register devices you do not own or have authorization to manage

6. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to our collection, use, and processing of data as described therein.

You retain ownership of all data you submit to the Service. You grant us a limited license to store, process, and display your data solely to provide the Service to you.

7. Device Data and Telemetry

The Service collects and stores telemetry data from your registered devices. You acknowledge that:

• You are responsible for ensuring your devices transmit only authorized data
• Device data may be processed by third-party infrastructure providers (e.g., ChirpStack for LoRaWAN)
• We may aggregate anonymized data for service improvement purposes
• Data retention policies apply as specified in our Privacy Policy

8. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may:

• Perform scheduled maintenance with reasonable advance notice
• Temporarily suspend access for emergency maintenance
• Modify or discontinue features with reasonable notice

9. Intellectual Property

The Service, including its design, features, and content, is protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE.

Our total liability shall not exceed the amount paid by you for the Service in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless the Company from any claims, damages, or expenses arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

12. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason with reasonable notice. Upon termination:

• Your access to the Service will be disabled
• Your data may be deleted after a reasonable retention period
• You may request an export of your data before termination takes effect

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Amsterdam, the Netherlands.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through the Service. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.
